This is the agreement for using SeedOS (“we”, “us”, “SeedOS”). It covers the marketing site, the app, paid plans, implementation work, connected tools, and AI agents. Most customers also have an order form or statement of work. When that document is more specific than this page, the specific document controls.
In plain English
- The business data in your workspace is yours.
- We can use that data only as needed to run, support, secure, and improve SeedOS for you.
- We do not use customer records or files to train third-party foundation models.
- Your order form controls price, renewal, cancellation, implementation, support, and any SLA.
- AI output needs review before anyone relies on it for serious decisions.
- Our liability is capped at the previous twelve months of fees, except where the law does not allow that.
- These terms use Quebec law, with disputes in Montreal unless the law requires something else.
Acceptance
By creating an account, signing an order form, accepting a statement of work, or using SeedOS, you agree to these terms. If you use SeedOS for a company, you confirm that you have authority to bind that company.
Service description
SeedOS is an AI Operating System delivered as a cloud service. Depending on your plan and scope, the platform may include:
- An operating backbone for customers, suppliers, products, quotes, invoices, purchase orders, payments, taxes, stock movements, shipments, and deliveries.
- Industry workflows for print, construction, ecommerce, wholesale, and custom operating systems.
- AI agents for intake, scheduling, prepress checks, cash-flow monitoring, reorder, email triage, margin review, reporting, and similar operating work.
- OAuth and API integrations with accounting, ecommerce, file storage, payment, and communication services.
- APIs, webhooks, dashboards, portals, automations, and a customization layer for customer-specific workflows.
Marketing pages describe what SeedOS can do. Your actual subscription, modules, integrations, implementation work, support level, and SLA are the items listed in your order form or statement of work.
Accounts
- You are responsible for keeping your credentials secure and for activity that happens under your account.
- Tell us promptly if you suspect unauthorized access or a security issue.
- You must be at least 16 years old to use SeedOS personally, and you must have authority to use it for a business account.
- Use one login per person. Shared accounts make audit trails unreliable and may violate your plan terms.
- You are responsible for managing your users, roles, permissions, and workspace access.
Acceptable use
Use SeedOS for normal business operations. Do not use it in a way that harms the platform, another customer, or anyone's rights. In particular, you agree not to:
- Resell, sublicense, or provide SeedOS as a competing service without written consent.
- Reverse-engineer, decompile, scrape, or copy the platform except where law gives you a non-waivable right to do so.
- Use SeedOS to store or process illegal content, infringing content, malware, or content that violates another person's rights.
- Try to access another tenant's data, bypass access controls, or test security without written approval.
- Run load tests, stress tests, automated crawlers, or scraping tools against the interface outside published API limits.
- Use an integration in a way that violates that provider's terms or laws that apply to your business.
Intellectual property
- Our IP. We own the SeedOS platform, software, design, documentation, templates, common components, and improvements we make to them. These terms do not transfer SeedOS IP to you.
- Your data and configuration. You own your customer data and the workspace-specific configurations, automations, dashboards, schemas, and agent definitions built for or by you. You give us a limited license to host, process, display, transmit, back up, and support them so we can provide the service.
- Feedback. If you send us suggestions, bug reports, or ideas, we may use them to improve SeedOS without owing royalties. We will not publicly associate feedback with you without permission.
AI + customer data
- Customer data is yours. We do not sell customer data, and we do not use it outside the service except as allowed by these terms, your order form, or the Privacy Policy.
- No third-party model training without opt-in. We do not send customer data to Anthropic, OpenAI, or another AI vendor to train their foundation models. AI inference and agent calls run under the vendor terms we use for business API access.
- AI artifacts are yours. Workspace-specific schemas, dashboards, automations, and agent definitions built for or by you belong to you, subject to our ownership of the underlying SeedOS platform.
- Aggregate usage data. We may use aggregated or de-identified usage data to improve SeedOS. This does not include your business records, customer lists, or files in a form that identifies you or your customers.
- AI output needs review. AI agents can be inaccurate, incomplete, biased, or out of date. You are responsible for reviewing AI output before relying on it for financial, legal, tax, regulatory, medical, safety-critical, employment, or other high-stakes decisions.
Fees and payment
Your plan, checkout, or order form says what you pay and when. Some customers pay month to month. Some pay yearly. Some have implementation milestones. If a fee is due under that document, it needs to be paid by the due date.
- We do not refund fees unless the order form, statement of work, or Termination section says we will.
- If a subscription renews, the cancellation window in your plan applies.
- If renewal pricing changes, we will give at least 30 days' notice first.
- Taxes are separate unless we are required to collect them directly.
Service availability
- Plant and Grow tiers are provided on a best-effort basis. We work hard to keep the service available, but those tiers do not include a specific uptime commitment.
- Run tier service-level commitments, if any, are written into the order form. If an SLA applies, service credits are your sole remedy for missed uptime targets.
- Scheduled maintenance is announced in advance when practical.
- Unscheduled downtime may be reported on our status page, in the product, or by email.
Third-party integrations
- When you connect an integration such as Stripe, QuickBooks, Sage, Xero, Shopify, Google Workspace, Microsoft 365, Procore, or another service, you authorize data to move between that service and SeedOS.
- You are responsible for your account, permissions, fees, and compliance with each integration provider's terms.
- We are not responsible for outages, errors, security incidents, billing changes, API changes, or data issues caused by third-party services.
- If a third-party integration changes or stops working, we may need to update, replace, or remove that integration.
Limitation of liability
SeedOS is software. It can help your team run the business, but it is not a guarantee against every downstream problem. Where the law allows, we are not responsible for indirect losses: lost profit, lost revenue, lost goodwill, lost data, business interruption, or paying for another service.
For all claims connected to SeedOS, our total responsibility is capped at the fees you paid us during the 12 months before the event. If a law says that limit cannot apply, that law controls.
Indemnification
If a claim arises from your data, your use of SeedOS, your breach of these terms, your violation of law, or your use of an integration, you agree to defend and indemnify SeedOS against the claim, damages, costs, and reasonable legal fees, to the extent allowed by law.
Termination
- You may cancel your subscription under the cancellation rules for your plan or order form.
- We may suspend or terminate access if fees are overdue, if use creates a security risk, if you breach these terms, or if the law requires it.
- If we cannot get your first scoped Plant-tier workflow live within two weeks because of our failure, we will refund the implementation fee for that workflow and part on good terms.
- After termination, you can request an export of available customer data for a reasonable period unless we are legally or security-wise unable to provide it.
- Sections that should naturally survive termination, including payment obligations, IP, AI and customer data, liability, indemnification, governing law, and notices, will survive.
Force majeure
There are moments when the service is delayed by something bigger than our team can fix directly: a cloud outage, internet failure, strike, natural disaster, war, civil unrest, government order, legal change, or attack on the platform. We are not responsible for delays or failures caused by those events while they continue.
Notices
We may send notices by email, inside the product, or by posting an update on the site. You may send legal notices to legal@seedos.io. Please include your company name, workspace name if you have one, and enough detail for us to route the notice properly.
Assignment + miscellaneous
- You may not assign these terms or your account without our written consent, except as part of a merger, acquisition, or sale of substantially all assets where the successor agrees to these terms.
- We may assign these terms as part of a merger, acquisition, financing, corporate reorganization, or sale of assets.
- If part of these terms is found unenforceable, the rest stays in effect.
- Our failure to enforce a term once does not waive our right to enforce it later.
- These terms, together with any order form, statement of work, and referenced policies, are the full agreement for your use of SeedOS.
Governing law
SeedOS is operated from Quebec, so Quebec law governs these terms, together with the federal laws of Canada that apply there. If a dispute has to go to court, the forum is Montreal, Quebec, unless a rule we cannot contract around requires a different place.
Changes to terms
We may update these terms as SeedOS changes. If a change is material, we will take reasonable steps to notify customers before it takes effect. Continued use of SeedOS after the effective date means you accept the updated terms. Changes to an active order form or statement of work require the process described in that document.
